Your Relationship with Noomii

Noomii.com (the “Website” or the “Site”) is a directory of professional life, career, and business coaches (the “Coaches”). As a Coach, Noomii helps you connect with new clients. As an individual or potential coaching client (a “Coaching Client”), Noomii helps you find a coach based on your goals and needs. The Website and Services are operated by Accountability Now LLC, a U.S.-based company with its principal place of business at 2154 Thorn Hollow Court, St. Augustine, FL 32092. By using the Website, you agree to comply with these Terms of Service (the “Terms”), together with our Privacy Policy. The terms “Noomii,” “Accountability Now,” “we,” or “the Company” refer to Accountability Now LLC. The term “you” refers to the user or viewer of the Website.

Accepting the Terms

By using, visiting, registering for, or participating in this Website, you accept these Terms. You may not use the Services if you do not accept the Terms or if you are prohibited from doing so under the laws of your jurisdiction

Changing the Terms

We may change or update these Terms at any time. Updated versions will be posted on this page with a revised date. Your continued use of the Services constitutes acceptance of the revised Terms.

Using the Service

You may browse the Website without registering. To be listed as a Coach, you must create an account and provide accurate information. Coaches are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their accounts. Coaching is distinct from psychotherapy, counseling, or medical treatment. Noomii does not diagnose or treat mental health conditions. Users are responsible for their own mental health and must follow the guidance of licensed professionals where applicable. You assume all risk in using the Services and interacting with other users, both online and offline

Membership Tiers

To participate as a Coach and access premium features, you may choose from the following membership tiers:

  • Hobbyist – A one-time $1 charge, primarily to secure a valid payment method on file.
  • Pro – $37 per month, or $447 annually. Subject to a 30% commission on sales made through the platform.
  • Elite – $97 per month, or $1,164 annually. Subject to a 15% commission on sales made through the platform.

Failure to pay commissions owed constitutes a material breach of these Terms and will result in immediate removal from the Noomii directory and suspension of your account.

Membership Commitment and Billing

Enrollment in any paid membership tier (Pro or Elite) constitutes a 12-month contractual commitment. By subscribing, you agree to maintain your membership for the full 12-month term, whether paid monthly or annually.

  • Monthly billing optionYou will be billed each month, but you remain contractually obligated for the full 12 months.
  • Annual billing option: You will be billed once for the full 12 months at the discounted annual rate.

Memberships renew automatically at the end of each 12-month term unless canceled prior to renewal. By subscribing, you authorize Accountability Now LLC to bill your designated payment method accordingly.

Card on File and Commission Charges

You agree to maintain a valid credit or debit card on file at all times. If we determine that you have engaged a client through the platform and commissions have not been billed or paid, we reserve the right to charge the owed commission amounts directly to the card on file, without further authorization.

Failure to maintain a valid card on file is grounds for suspension or removal from the directory.

Refund Policy

All payments are final. Refunds are not offered under any circumstances.

This includes, but is not limited to

  • Cancellation before the end of the 12-month term.
  • Downgrades to a lower tier during the commitment period.
  • Dissatisfaction with the Services.
  • Failure to use the Services

By subscribing, you acknowledge and agree that you are entering into a binding 12-month contract and that all associated fees and commissions are non-refundable.

Personal Guarantee

If you register as a Coach, you agree to be personally, jointly, and severally liable for all fees, commissions, and obligations under these Terms, regardless of whether you operate through a corporation, partnership, limited liability company, or other entity. This means that you personally guarantee payment of all amounts owed to Accountability Now LLC, including membership fees, commissions, late charges, and any collection costs or attorney’s fees incurred in enforcing these Terms.

Restrictions

You agree not to misuse the Services. This includes but is not limited to:

  • Providing false or misleading information.
  • Harassing or threatening staff or users.
  • Copying or harvesting Website content.
  • Advertising or soliciting outside of permitted uses.
  • Engaging in illegal, fraudulent, or harmful activities

Violation of these Terms may result in suspension or termination of your account.

Ownership and Content

All intellectual property rights in the Website and its content are owned by Accountability Now LLC or its licensors. User-submitted content remains the responsibility of the submitting party. By submitting any ideas, feedback, or suggestions to the Company, you grant Accountability Now LLC full rights to use and implement such submissions without obligation of compensation.

Disclaimers and Limitations of Liability

The Services are provided “as-is.” Accountability Now LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of the Website or Services.

Miscellaneous Terms

  • The Services may be unavailable from time to time for maintenance or other reasons.
  • The Company may change or discontinue any part of the Services at its sole discretion.
  • These Terms constitute the entire agreement between you and Accountability Now LLC.
  • If any provision is held invalid, the remainder shall remain enforceable.
  • These Terms are governed by the laws of St. Johns County, Florida, United States. Any disputes shall be resolved exclusively in the state or federal courts located in St. Johns County, Florida.
