1. Your Relationship with Noomii

Noomii.com (the “Website” or the “Site”) is a directory and lead generation platform for professional life, business, and career coaches (collectively, the “Coaches”). As a Coach, Noomii helps you connect with new clients (“Clients”) through its SmartMatch lead system. As a Client, Noomii helps you find and connect with a coach that fits your goals and needs.

The Website and related services (the “Services”) are owned and operated by Accountability Now LLC, a U.S.-based company with its principal place of business at 9393-2 Mill Springs Dr, Jacksonville, FL 32257.

By using the Website, you agree to comply with these Terms of Service (the “Terms”) and our Privacy Policy. The terms “Noomii,” “Accountability Now,” “we,” and “the Company” refer to Accountability Now LLC. The term “you” refers to any user or visitor of the Website, whether a Coach or Client.

2. Accepting the Terms

By accessing, registering for, or using the Website or Services, you accept these Terms in full. If you do not agree, you must not use the Website or Services. You may not use Noomii if prohibited by the laws of your jurisdiction.

3. Changes to the Terms

We may update or modify these Terms at any time. The most recent version will always be posted on this page with a revised date. Continued use of the Website or Services after any update constitutes acceptance of the revised Terms.

4. Using the Service

You may browse the Website without registering. To appear in the directory as a Coach, you must create an account and provide accurate, complete, and current information. Coaches are responsible for maintaining the confidentiality of their credentials and for all activities under their account.

Coaching is not therapy, counseling, or medical treatment. Noomii does not diagnose, treat, or provide healthcare advice. Clients are responsible for their own wellbeing and should seek licensed professionals where applicable.

You assume all risk when using the Services or interacting with other users, both online and offline.

5. Membership Tiers

To participate as a Coach and access premium features, you may choose from the following membership tiers:

• Hobbyist: A one-time $1 charge, primarily to confirm a valid payment method.
• Pro: $37 per month, or $447 annually. Subject to a 30% commission on all Client payments generated through SmartMatch leads.
• Elite: $97 per month, or $1,164 annually. Subject to a 15% commission on all Client payments generated through SmartMatch leads.

Failure to pay commissions or maintain an active payment method constitutes a material breach of these Terms and will result in immediate removal from the Noomii directory and suspension of your account.

6. Membership Commitment and Billing

Enrollment in any paid membership (Pro or Elite) constitutes a 12-month binding contractual commitment. By subscribing, you agree to maintain your membership for the full 12-month term, whether billed monthly or annually.

• Monthly billing: You will be billed each month, but remain contractually obligated for the full 12 months.
• Annual billing: You will be billed once at the discounted annual rate.

Memberships renew automatically at the end of each 12-month term unless canceled prior to renewal. By subscribing, you authorize Accountability Now LLC to bill your designated payment method accordingly.

You understand and agree that your payment obligation is not contingent upon satisfaction, perceived lead quality, number of leads received, or specific business outcomes. Noomii provides a marketing and lead generation service, not a guarantee of results or client conversions.

7. Card on File and Commission Charges

You agree to maintain a valid credit or debit card on file at all times.

If Noomii determines that you have received payment from a SmartMatch Client and commissions are due but unpaid, you authorize Noomii to automatically charge the card on file for all outstanding commission amounts, including any applicable late or interest fees.

Failure to maintain a valid card on file or to pay commissions in a timely manner may result in immediate suspension or permanent removal from the platform.

8. Late Fees and Automatic Charges

If any commissions or fees remain unpaid:

• A 1% monthly interest fee applies to all overdue balances.
• A $500 late payment penalty may be applied to balances unpaid beyond 30 days.
• Noomii may automatically charge the credit card on file for all outstanding commissions or related fees without additional notice.
• Failure to resolve unpaid commissions may result in legal collection or enforcement actions.

9. Refund and Satisfaction Policy

All payments, fees, and commissions are final and non-refundable, under any circumstances, including but not limited to:

• Canceling before the end of the 12-month commitment
• Downgrading to a lower membership tier
• Dissatisfaction with Services, platform functionality, or SmartMatch lead quality
• Failure to receive the number of leads anticipated
• Failure to close or convert leads into paying clients
• Failure to utilize or access the Services

By subscribing, you acknowledge and affirm that you are entering into a legally binding contract for the full membership term, and that payment obligations remain enforceable regardless of performance, satisfaction, or usage.

You further agree that no refunds, credits, or chargebacks will be issued for dissatisfaction, perceived service limitations, or the results of your own business performance.

10. Personal Guarantee

By registering as a Coach, you agree to be personally, jointly, and severally liable for all payments, fees, commissions, penalties, and related obligations under these Terms, regardless of whether you operate through a corporation, LLC, or other entity.

You further agree to reimburse Accountability Now LLC for any legal, administrative, or collection costs (including attorney’s fees) incurred in enforcing these Terms.

11. Conduct and Removal Policy

All Coaches are expected to maintain professionalism and integrity when representing themselves and the Noomii brand.

Noomii reserves the right to suspend or permanently remove a Coach, without refund, for any of the following:

• Non-payment of commissions or membership fees
• Providing false or misleading information
• Repeated client complaints or low service quality
• Negativity, bullying, harassment, or verbal abuse toward Clients, staff, or other Coaches
• Disparaging or hostile conduct that harms the reputation of Noomii or Accountability Now
• Public defamation, disparagement, or misuse of Noomii’s name or brand
• Unprofessional communication or refusal to comply with reasonable requests from Noomii staff

Determination of such conduct is at Noomii’s sole discretion. All decisions are final.

12. Restrictions

You agree not to misuse the Services. This includes, but is not limited to:

• Harassing or threatening users, Clients, or staff
• Posting false, defamatory, or harmful content
• Copying or scraping Website data
• Soliciting Clients outside of Noomii’s approved systems
• Engaging in illegal, unethical, or fraudulent activity

Violations may result in immediate account termination without refund.

13. Ownership and Intellectual Property

All software, logos, systems, and intellectual property on the Website belong to Accountability Now LLC or its licensors.

You retain ownership of your own submitted materials but grant Noomii a perpetual, worldwide, royalty-free license to use, display, and distribute such materials for platform operation and promotion.

Any ideas, testimonials, or feedback submitted may be used freely without compensation or obligation.

14. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available.” Accountability Now LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no guarantees about the number or quality of leads, the likelihood of conversions, or any specific business outcome.

Accountability Now LLC is not liable for any indirect, incidental, or consequential damages arising from use of the Website or Services, including but not limited to lost profits, client disputes, or reputational harm.

15. Miscellaneous Terms

• Services may occasionally be unavailable for maintenance or upgrades.
• Noomii may modify or discontinue any feature at any time without notice.
• These Terms constitute the full agreement between you and Accountability Now LLC.
• If any part of these Terms is held invalid, the remaining provisions remain enforceable.
• These Terms are governed by the laws of St. Johns County, Florida, USA.
• Any dispute shall be resolved exclusively in the state or federal courts of St. Johns County, Florida.
